These Terms & Conditions (the “Terms”) form a legally binding agreement between you and Ciber Media (“Ciber Media”, “we”, “us”, “our”) governing your access to and use of ciber-media.com, including all pages, articles, feeds, newsletters and features made available through it (together, the “Site”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes both you and that organization.

These Terms incorporate by reference our Privacy Policy, our Disclaimer and our DMCA Policy.

1. Definitions

  • “Content” means all material made available on the Site, including articles, headlines, standfirsts, analysis, data, tables, charts, graphics, images, logos, page design, source code and compilations.
  • “User Content” means anything you submit to the Site or to us, including comments, tips, correspondence, corrections and feedback.
  • “Intellectual Property Rights” means copyright, moral rights, trademarks, database rights, trade secrets and any other proprietary rights, whether registered or unregistered, anywhere in the world.
  • “Applicable Law” means the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, together with any mandatory law of your place of residence that cannot be excluded by agreement.

2. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction if higher, to submit User Content or subscribe to communications. The Site is written for a professional adult readership and is not directed at children. If you are under the applicable age, you may read the Site but must not submit User Content.

You must not use the Site if you are barred from doing so under Applicable Law, or if you are subject to sanctions that would make your use unlawful.

3. Licence to use the Site

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and view the Content for your own personal or ordinary internal professional use.

This licence permits you to:

  • Read, browse and print pages for your own reference;
  • Link to any page on the Site, provided the link does not imply endorsement, does not frame or obscure the page, and does not present our Content as your own;
  • Quote a short excerpt — ordinarily no more than a couple of sentences — with clear attribution to Ciber Media and a working link to the original article;
  • Share links to our articles on social media and in internal communications.

All rights not expressly granted are reserved. This licence does not transfer any ownership interest in the Content.

4. Restrictions on use

You must not, and must not permit any other person or automated system to:

4.1 Content restrictions

  • Republish, syndicate, redistribute or make available an article in full or in substantial part, in any medium, without our prior written permission;
  • Create derivative works from the Content, including translations, summaries offered as substitutes for the original, or audio or video versions, without permission;
  • Remove, obscure or alter any copyright notice, byline, attribution or watermark;
  • Sell, licence, rent or otherwise commercialize the Content;
  • Present the Content, or material derived from it, as your own or as the output of another publication.

4.2 Automated access, text and data mining

  • You must not scrape, crawl, spider, index or harvest the Site at a rate or volume that imposes an unreasonable load on our infrastructure, or in circumvention of the directives in our robots.txt file, rate limits, or any other access-control measure;
  • We expressly reserve all rights in respect of text and data mining and the training of machine-learning and artificial-intelligence systems. You must not use the Content, in whole or in part, to train, fine-tune, evaluate, ground or otherwise develop any machine-learning model, large language model or generative system, and must not supply the Content to a third party for that purpose, without our prior written permission. This is an express reservation of rights for the purposes of Article 4(3) of Directive (EU) 2019/790 and any equivalent provision under Applicable Law;
  • You must not use the Site to build a competing product, dataset or index, or to create a substitute service that reproduces our Content;
  • Non-commercial academic research and standard search-engine indexing are permitted; if in doubt, ask us at [email protected].

4.3 Security and integrity

  • You must not attempt to gain unauthorized access to the Site, any account, server or system connected to it, or any data not intended for you;
  • You must not probe, scan or test the vulnerability of the Site, or breach or circumvent any security or authentication measure, without our prior written consent;
  • You must not upload, transmit or link to malicious code, or interfere with the proper working of the Site, including by denial-of-service attack or by overloading any interface;
  • You must not reverse engineer, decompile or disassemble any part of the Site, except to the extent that restriction is prohibited by Applicable Law.

Responsible disclosure. If you believe you have found a security vulnerability in the Site, please report it to [email protected] before disclosing it publicly, and do not access, modify or exfiltrate data belonging to others while investigating. We will not pursue action against good-faith researchers who follow this section, act proportionately, and give us a reasonable opportunity to fix the issue.

4.4 Conduct

  • You must not use the Site for any unlawful purpose, or in a way that infringes anyone’s rights;
  • You must not impersonate any person or organization, or misrepresent an affiliation with Ciber Media;
  • You must not use the Site to send unsolicited commercial messages, or to collect email addresses or other contact details for that purpose;
  • You must not use the Site in a manner that would breach Canada’s Anti-Spam Legislation or an equivalent law elsewhere.

5. Intellectual property

All Content is owned by Ciber Media or its licensors and is protected by the Copyright Act (Canada), the Trademarks Act (Canada), and equivalent laws in other jurisdictions, together with international treaties. The selection, arrangement and compilation of the Content are themselves protected.

“Ciber Media”, the Ciber Media logo and our page design are our trademarks and trade dress, whether registered or not. You may not use them without our prior written consent, except to refer to Ciber Media accurately in ordinary descriptive terms.

Third-party names, trademarks, product names, logos and screenshots appearing on the Site remain the property of their respective owners and are used for identification, reporting and commentary. Their appearance does not imply any affiliation with, sponsorship by, or endorsement from those owners.

Licensing enquiries. For syndication, reprint rights, classroom or corporate distribution, or permission to reproduce a chart or table, contact [email protected]. We grant such permissions routinely and often at no charge — it costs you nothing to ask.

6. User Content

6.1 Your representations

By submitting User Content you represent and warrant that:

  • You own it, or have all rights and permissions necessary to submit it and to grant the licence in section 6.2;
  • It does not infringe any Intellectual Property Right, privacy right or right of publicity;
  • It is not defamatory, unlawful, threatening, harassing, hateful, obscene, or an incitement to violence;
  • It does not contain malicious code, and is not part of an automated or coordinated posting campaign;
  • It does not disclose confidential information you are legally obliged to keep confidential, including personal information about others collected without their consent.

6.2 Licence you grant to us

You retain ownership of your User Content. You grant Ciber Media a non-exclusive, worldwide, royalty-free, transferable, sublicensable and perpetual licence to host, store, reproduce, publish, display, adapt for formatting purposes, and distribute your User Content on and in connection with the Site, including in archives, feeds and social media posts referring to the article on which it appears. Where your jurisdiction recognizes moral rights, you waive them in favour of Ciber Media to the extent permitted by law, save for the right of attribution where you have posted under a name.

6.3 Moderation

We moderate comments. We may, at our sole discretion and without obligation, refuse to publish, edit, reclassify, or remove any User Content, and may close comments on any article. We are under no obligation to publish anything you submit, and removal of a comment is not a statement about you.

Comments are the views of the people who post them. We do not endorse them and, to the fullest extent permitted by law, we are not responsible or liable for User Content posted by others.

6.4 Unsolicited submissions and feedback

We do not accept unsolicited guest posts, sponsored-link insertions or paid placements. Any suggestion, idea or feedback you send us about the Site may be used by us without restriction, obligation or compensation, and you agree that no confidential or fiduciary relationship arises from your sending it.

7. Accuracy, currency and editorial independence

We research carefully, cite primary sources and correct errors. Even so, the Site is published for information only, technology and regulatory situations change quickly, and an article reflects the facts as we understood them on its publication date. Articles are not updated as a matter of course after publication.

Nothing on the Site is professional advice. Our Disclaimer sets out the full position and forms part of these Terms.

8. Advertising, affiliate links and sponsored content

The Site may carry advertising, affiliate links and, from time to time, sponsored content.

  • Sponsored content is labelled as such on the page where it appears;
  • Where we use affiliate links, a purchase made through one may earn us a commission at no additional cost to you;
  • Commercial arrangements do not buy editorial coverage, a favourable angle, prior review of an article, or the removal of unfavourable material;
  • Advertisements are the responsibility of the advertiser. We do not endorse advertised products and we are not a party to any transaction between you and an advertiser.

9. Third-party sites and services

The Site links to third-party websites and may embed third-party content. We do not control them, do not monitor them, and are not responsible for their content, accuracy, availability, security or practices. Links are provided so you can verify our reporting; they are not endorsements. Your dealings with any third party are solely between you and that third party.

10. Availability, changes and termination

We aim to keep the Site available but do not warrant uninterrupted or error-free access. We may, at any time and without notice or liability:

  • Modify, suspend, restrict or discontinue the Site or any feature of it;
  • Amend, unpublish, archive or delete any article, including for legal, accuracy or editorial reasons;
  • Impose limits on certain features, or restrict access to parts of the Site;
  • Terminate or suspend your access, and remove your User Content, if we reasonably believe you have breached these Terms or that your use may harm the Site, us or another person.

Sections 5, 6.2, 6.4, 8, 11, 12, 13, 14, 15, 16 and 17 survive any termination of these Terms.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, timely or error-free; that defects will be corrected; that the Site or its servers are free of viruses or other harmful components; or that any information on the Site is accurate, complete, current or reliable.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CIBER MEDIA AND ITS OWNERS, CONTRIBUTORS, EDITORS, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, ANTICIPATED SAVINGS OR OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR OTHERWISE, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Exceptions. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions our liability is limited to the minimum extent permitted by law, and the exclusions above apply only so far as that law allows. If you are a consumer, these Terms do not affect your statutory rights.

13. Indemnity

You agree to indemnify, defend and hold harmless Ciber Media and its owners, contributors and agents from and against any claim, demand, action, loss, liability, damage, cost or expense, including reasonable legal fees, arising out of or relating to: your breach of these Terms; your User Content; your misuse of the Site; your violation of Applicable Law; or your infringement of any third-party right. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with us.

14. Copyright complaints

We respond to notices of alleged copyright infringement in accordance with our DMCA Policy, which also describes how we handle notices under Canada’s notice-and-notice regime, and our policy of terminating access for repeat infringers in appropriate circumstances.

15. Dispute resolution

Informal resolution first. If you have a dispute with us, please contact [email protected] with a description of the issue and the outcome you seek. We will attempt in good faith to resolve it within 45 days of receipt. Most disputes are resolved this way, and we ask that you try it before commencing proceedings.

Governing law. These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Jurisdiction. You agree to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Toronto, for any dispute not resolved informally, and you waive any objection to venue in those courts. Nothing in this section deprives a consumer of the protection of the mandatory rules of law of their country of habitual residence, or of the right to bring proceedings in the courts of that country where the law gives them that right.

Time limit. To the extent permitted by Applicable Law, any claim relating to the Site must be brought within one year after the cause of action arises, or it is permanently barred.

16. General

  • Entire agreement. These Terms, together with the Privacy Policy, Disclaimer and DMCA Policy, constitute the entire agreement between you and Ciber Media concerning the Site, and supersede all prior understandings on that subject.
  • Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions continue in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them, in whole or in part, in connection with a merger, acquisition or sale of assets.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages at our hosting or network providers, cyberattacks, power failures, natural events, labour disputes, or acts of government.
  • No agency. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and us.
  • Notices. We may give notice by posting on the Site or, where we hold your address, by email. You may give notice to us at [email protected].
  • Language. These Terms are drafted in English. Where we provide a translation, the English version governs in the event of any inconsistency. Les parties ont exigé que la présente convention soit rédigée en anglais.
  • Accessibility. We work toward meeting recognized web accessibility standards. If you encounter a barrier using the Site, please tell us at [email protected] and we will try to provide the information in a usable format.

17. Changes to these Terms

We may amend these Terms from time to time. The “last updated” date above will change, and the version posted on the Site at the time of your use governs that use. For material changes we will post a notice on the Site. Continuing to use the Site after a change takes effect constitutes acceptance of the amended Terms; if you do not accept them, you must stop using the Site.
